1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Game Squares ("Company," "we," "us," or "our") governing your access to and use of the Game Squares website, platform, and all related services (collectively, the "Service"). By registering an account, purchasing tokens, or otherwise using the Service, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You may only use the Service if you meet all of the following requirements:

• You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
• You are not located in, or a resident of, any jurisdiction where participation in the Service is prohibited by applicable law.
• You are not on any government-maintained list of prohibited or restricted parties.
• You are accessing the Service for your own personal, non-commercial use.

We reserve the right to request proof of age or identity at any time. Misrepresentation of eligibility is grounds for immediate account termination and forfeiture of any token balance.

3. Nature of the Service

Game Squares is an entertainment platform offering a token-based grid game of chance. Users purchase digital tokens, which are used solely within the platform to claim squares on a 10×10 game grid. When all 100 squares in a game are claimed, winning coordinates are drawn at random. The holder of the matching square receives the token pot prize for that game.

Tokens have no cash value and cannot be withdrawn or redeemed for currency. Tokens may be converted to gems (an in-platform reward currency) at rates determined by your subscription tier. Gems are used to claim squares in Prize Games, which are exclusively available to active subscribers (Silver, Gold, or Platinum). The Company reserves the right to modify or discontinue the gem conversion feature at any time.

Nothing in the Service is intended to constitute, and shall not be construed as, a lottery, sweepstakes, or regulated gambling operation under any applicable law. Users are solely responsible for determining whether participation is lawful in their jurisdiction.

4. Account Registration & Security

You must register an account to use the Service. You agree to provide accurate, current, and complete information and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, with or without cause, and with or without notice.

5. Token Purchases & Payments

Token purchases are processed through Stripe, a third-party payment processor. By purchasing tokens you agree to Stripe's terms of service in addition to these Terms. All purchases are final. We do not offer refunds on token purchases under any circumstances, except where required by applicable law. Chargebacks or disputes initiated with your bank or card issuer may result in immediate account suspension and legal action to recover amounts owed.

We reserve the right to modify token pricing, availability, and the number of tokens required to claim squares in any game, at any time and without prior notice.

6. Gems & Prize Games

Active paid subscribers (Silver, Gold, or Platinum tier) may convert tokens to gems through the Account → Convert feature. Gems are used to claim squares in Prize Games. Prize Games are exclusively available to active subscribers; Free accounts may view Prize Games but cannot claim squares. The following conditions apply:

• Token-to-gem conversion requires an active paid subscription (Silver, Gold, or Platinum). Free accounts cannot convert tokens to gems.
• Token-to-gem conversions are permanent and one-way. Gems cannot be converted back to tokens.
• Gem conversion rates are subject to change at any time without notice.
• Gems have no cash value and cannot be transferred, sold, or redeemed for currency.
• Access to Prize Games and gem conversion requires maintaining an active paid subscription. If your subscription lapses, you will no longer be able to convert tokens or claim squares in Prize Games.

7. Prohibited Conduct

You agree that you will not:

• Use the Service if you are prohibited by law from doing so in your jurisdiction.
• Use automated tools, bots, scripts, or other non-human means to interact with the Service.
• Attempt to manipulate, exploit, or circumvent any game mechanic or outcome.
• Engage in collusion, fraud, or any other deceptive practice.
• Create multiple accounts to circumvent restrictions or gain an unfair advantage.
• Use the Service for money laundering or any other unlawful financial activity.
• Harvest, scrape, or collect data from the Service without our express written consent.
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the platform.

Violation of any of these prohibitions may result in immediate account termination and forfeiture of all tokens, with no right of appeal or refund.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED OR THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAME SQUARES, ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF TOKENS YOU PURCHASED FROM US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, CONVERTED TO U.S. DOLLARS AT FACE VALUE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Game Squares and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your conduct caused damage to a third party. This obligation survives termination of your account and these Terms.

11. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and game mechanics — are owned by or licensed to Game Squares and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes only. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

12. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described therein. We may share information with Stripe and other service providers as necessary to operate the platform.

13. Modifications to the Service & Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you. We also reserve the right to revise these Terms at any time. If we make material changes, we will provide notice by posting the revised Terms on this page with an updated effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration, and you waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

16. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Game Squares with respect to the Service and supersede all prior and contemporaneous understandings and agreements.
